The Decree

The Decree of the President of the Republic of Belarus ¹1 dated 16.01.2009 About State Registration and Liquidation (cancellation of activity) of Economic Entities came into force on 01.02.2009.


Procedure for State Registration

Application for state registration of documents stipulated by the present Regulation and presented by the property owner, the founders (shareholders) should be preceded by the following procedures:


1. To agree the name of a profit, non-profit organization newly created at the local registration institution.

Payment for the name coordination is not collected.

2. To define the location of profit, non-profit organization newly created.

3. To make a decision to create a profit, non-profit organization and get the statutes ready (memorandum of association for profit organizations acting on behalf of memorandum of association only).

4. - To form the authorized fund.

- To open a temporary bank account, or account at a non-bank credit and financial organization in order to make a deposit for the authorized fund.

- To define non-money share cost when depositing non-money share to the authorized fund.


The list of document for state registration

For state registration of profit organizations, including profit organizations with foreign investments, the registering organ requires the documents as follows:

  • Application for state registration (is filled in according to the form (in Russian) by the Ministry of Legislation).

  • Statutes (memorandum of association for profit organizations acting on behalf of memorandum of association only) in two copies, notary verification not required, its e-copy (in format .doc or .rtf).

  • Legalized abstract from the Trade Register of the entity’s country or other equivalent proof of the legal status of the entity according to the law of the country of establishment (the abstract should be applied not later then one year from the issue date) translated into the Belarusian or the Russian languages (the translator signature should be notary verified) – it is true for the founders who are foreign companies.

  • Copy of the document verifying the personality translated into the Belarusian or the Russian languages (the translator signature should be notary verified) – it is true for the founders who are foreign natural persons.

  • Original or copy of the payment order proving the state fee payment.

  • State registration is performed at the day of application.
    The certificate for state registration in the form regulated by Council of Ministers of the Republic of Belarus is issued not later then at the working day following the day of application.
    During five days following the day of state registry of an economic entity at the Unified State Register of Economic Entities and Individual Entrepreneurs the registering body issues documents proving the registration at tax police, bodies of statistics, the Social fund of the Ministry of Labor and Social Defense, Belarusian republican unitary insurance company Belgosstrah.
    The applying legal person, individual entrepreneur can be issued the Certificate for State Registration together with the abovementioned documents.


    • Backgrounds for state registration refusal

  • Absence of one or several documents necessary for state registration, stipulated by the present Regulations.
  • Application for state registration incorrectly filled in.
  • Application to a wrong registration body.


    • Authorized Fund Amount

    Profit organizations decide the amount of the authorized fund by themselves, excluding the commercial organizations appointed below as well as profit organizations with the set minimum for authorized fund by the according legislation.

    Minimum amount of authorized fund for legal persons of the Republic of Belarus is established in the amount equivalent to:

    100 basic units for private joint-stock companies
    400 basic units for public joint-stock companies

    1 basic unit comes to = 35000 BLR.

    Minimum amount of authorized fund for private joint-stock companies and public joint-stock companies are defined in BLR dependant of basic unit set for the day when the statutes (changes and (or) supplements connected with changes amount of authorized fund) are submitted to the registering bodies.
    At the moment of state registration performance authorized funds of joint-stock companies, other profit organizations with the set minimum for authorized fund by the according legislation should be formed in the amount not less then the minimum authorized funds stipulated by legislation, other profit organizations – in the amount stipulated by their statutes (memorandum of association – for profit organizations acting on behalf of memorandum of association only).
    The requirements for the amount and terms of the authorized fund formation for profit organizations with foreign investments are stipulated by the Investment Code of the Republic of Belarus.


    Minimum amount of authorized fund
    for profit organizations with foreign investment

    Authorized fund for profit organizations with foreign investment must be declared in USD. Minimum amount of foreign investment into the authorized fund is defined in the amount of equivalent to USD20000.

    Legal entity with the share of foreign investments in the authorized fund not less than USD 20 thousand aiming at profit making as the main objective of its activity and/or sharing the earned profit among its shareholders is acknowledged as profit organization with foreign investments on the territory of the Republic of Belarus.
